SpellKit Terms of Use

1. The Service

SpellKit is a desktop application that helps you save, organize, and access prompts for large language models and other text-based workflows. The Software is currently available for macOS, with Windows and Linux versions in development.

2. License

We grant you a limited, non-exclusive, non-transferable, revocable license to download and use SpellKit for personal or commercial purposes.

You may NOT:

• Reverse engineer, decompile, or disassemble the Software
• Modify, copy, or create derivative works of the Software
• Redistribute, sell, rent, lease, or sublicense the Software
• Remove or alter any copyright, trademark, or proprietary notices

All rights not expressly granted are reserved by Ourfires LTD.

3. Ownership

SpellKit and all related intellectual property rights remain the exclusive property of Ourfires LTD. These Terms do not grant you any ownership rights to the Software.

Your prompts and content remain yours. We claim no ownership over any content you create or store using SpellKit.

4. Acceptable Use

You agree to use SpellKit only for lawful purposes. You may not use the Software:

• In any way that violates applicable laws or regulations
• To engage in illegal activity or facilitate harm to others
• To infringe upon the rights of others

We are not responsible for how you choose to use the Software or any content you create with it.

5. Free Service and Future Changes

SpellKit is currently free to use. We may introduce paid features, premium tiers, or subscription services in the future. If we do, these Terms will be updated accordingly, and the core free version will remain available.

We reserve the right to modify, suspend, or discontinue any aspect of SpellKit at any time without liability.

6. Privacy

Your use of SpellKit is also governed by our Privacy Policy, available at https://spellkit.app/privacy-policy. The Privacy Policy explains what data we collect and how we use it.

7. Updates and Changes

We may update the Software from time to time. Updates may be installed automatically or may require your action. You are responsible for maintaining compatible hardware and operating systems.

We may revise these Terms at any time. Changes will be effective immediately upon posting. Your continued use of SpellKit after changes constitutes acceptance of the revised Terms. We will update the "Last Updated" date at the top of this document.

8. Disclaimers

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that SpellKit will be error-free, uninterrupted, secure, or meet your requirements. You use the Software at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OURFIRES LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF SPELLKIT.

Our total liability for any claims related to the Software shall not exceed £100 GBP.

10. Termination

You may stop using SpellKit at any time by uninstalling the Software.

We reserve the right to terminate or suspend your access to SpellKit at our sole discretion, without notice, for any reason, including violation of these Terms.

Sections that by their nature should survive termination will survive, including ownership provisions, disclaimers, and limitations of liability.

11. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes shall be resolved in the courts of England and Wales.

12. General

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms constitute the entire agreement between you and Ourfires LTD regarding SpellKit.
